2014 Volvo - Harman Kardon "Beautiful Sound by Design"

Incentive Program 

The 2014 Volvo – Harman Kardon "Beautiful Sound by Design” Incentive Program (the “Program”) starts at 12:01 AM Eastern Time on August 1, 2014 and ends at 11:59 PM Eastern Time on February 28, 2015 (“Program Period”).  The Program consists of the “Wholesale Order Program” and the “Retail Sales Program”, each of which is described in more detail below.  The “Program Website” is located at:

ELIGIBLE VEHICLES:   The eligible vehicles for the Program consist of the following model year 2015.5 Volvo vehicles equipped with a Harman Kardon branded sound system: S60, S80, V60, XC60 and XC70 (“Eligible Vehicles”).  Previously reported specialty demos, sales demos and company vehicles, when properly reported to the end consumer during the Program Period, also qualify. Only domestic USA vehicle sales are eligible. Overseas, employee leases and internal sales of otherwise eligible vehicles do not qualify for the Program. 

SALES MANAGER/DEALERSHIP ENROLLMENT:   Volvo Dealership information and corresponding Sales Manager(s) (“Sales Manager”) data will be provided to Program Headquarters by Volvo, prior to program launch.  Sales Managers will be considered automatically enrolled via the data provided by Volvo.  The Sales Managers will be responsible for ordering Eligible Vehicles.  In the event that multiple Sales Managers are designated for a dealership, the 25% override bonus points (described below) will be divided evenly among them.


WHOLESALE ORDER PROGRAM SUMMARY:   The Sponsor will establish Wholesale Goals and provide the data to Program Headquarters, along with current Wholesale Orders by dealership.  Wholesale Orders will be counted and reported based on the Invoice Date.  Program Headquarters will generate a monthly email to each enrolled Volvo Dealership assigned Sales Manager(s).  This email will show the actual orders vs. target goal orders of Eligible Vehicle for the wholesale portion of the Program.  If the wholesale order goal is met or exceeded at the end of the Program, Sales Manager(s) 25% override points (earned from the Retail Program) will be doubled. 


  1. Starting August 1, 2014, Sales Managers may order Eligible Vehicles.
  2. Starting September 15, 2014, Program Headquarters will generate an email to the assigned Sales Manager(s)  that contains actual orders vs. target goal orders of Eligible Vehicles.
  3. Emails will be generated on a monthly basis (after the initial email) to the Sales Manager(s) showing their current order status vs. their targeted goal of Eligible Vehicles.


RETAIL SALES PROGRAM SUMMARY:  Volvo Sales Professionals and Sales Manager data will be provided to Program Headquarters by Volvo, prior to program launch and will be considered automatically enrolled via the data provided by Volvo.  Sales Managers and Volvo Sales Professionals (each a “Participant”) can earn reward points towards valuable Sponsor rewards for selling an Eligible Vehicle and additional points for correctly answering training questions.  Participant points will be individually accrued during the Program and may be redeemed for valuable Sponsor rewards after the Program has concluded and during the Redemption Period. 


  1. Sell an Eligible Vehicle.
  2. Starting the week of September 15, 2014, each Participant who has sold an Eligible Vehicle will receive an email from Program Headquarters with their username and password along with a link to the Program Website log in page. 
  3. Upon logging in the first time, the Participant will be required to create a new password and activate the device (computer) from where they are accessing the Program Website.
  4. Emails will then be generated on a weekly basis for prior week sales.  When the Participant receives the auto generated email from Program Headquarters, they may click on the hyperlink in the email or go directly to the Program Website and sign in using their username and password, to claim eligible VINs.  (NOTE:  After the initial log-in, Participants may log in at any time to review their Program statistics.)
  5. Once a Participant is logged into the Program Website, select the ‘Play Now’ button for a list of VINs of Eligible Vehicles sold that were received from Volvo Corporate for that Participant.  The Participant can then claim the VIN by clicking on the VIN link.
  6. After clicking on the VIN link, Participants will be asked to correctly answer two (2) Volvo - Harman Kardon related training questions.
  7. Upon Program completion, Participants can redeem points for valuable Sponsor product rewards.

PROGRAM POINTS:   Each Eligible Vehicle sold or leased and ‘claimed’ during the Program Period pursuant to the process described above, will receive 30 points.  Once the VIN has been claimed, the Participant will then be asked two (2) training questions* regarding a Volvo vehicle and/or a Harman Kardon sound system.  The Participant will have 60 seconds and just one chance to answer each question.  Each question answered correctly will earn 10 additional points.  Incorrectly answered or timed out questions will not earn any points.  The points earned will be added to the Participant’s initial claimed VIN points as a bonus.  Participants will earn 30, 40 or 50 points for each Eligible Vehicle sold and claimed during the Program Period.

*NOTE:  The Program Website will have training resources related to Volvo and the Harman Kardon sound systems, which will assist in answering the questions .

SALES TRAINING ‘KICK OFF TEST’ BONUS POINTS:   A variety of training resources will be made available to the Participants.  Participants will have the opportunity to answer training questions to earn points.  The first opportunity to do so is with the Kick Off Test.  This test is designed to help Participants get off to a fast start in the Program. 

The training resources prepare Participants to take a 15 question test related to Volvo and Harman Kardon sound systems (the “Kick Off Test”).  Participants can take the test by going to the Program Website.  Each Participant taking the test will be able to earn 50 bonus points by passing the Kick Off Test with a score of 80% (12 or more correct answers) or greater (“Kick Off Bonus Points”). 

All Kick Off Bonus Points will be deposited into the Participants’ point balance statement report the following day in which the test is taken.  There is a maximum of 50 bonus points available per Participant.  No points will be earned for a score less than 80%.  The link to the training resources and test can be found on the navigation bar of the Program Website.  Only a Sales ID # is required to sign in and participate with the test. 

SALES MANAGER BONUS POINTS:   Once a Participant claims a valid VIN and answers a training question or takes the Kick Off Test, the Sales Managers of record will receive 25% of the points earned by the Participant; provided, however, the Sales Managers will not be awarded bonus points described in this section when a Sales Manager is listed as the selling Participant or person taking the Kick Off Test.

KICK OFF TEST DRAWINGS:   In the first 45 days of the Program from August 18, 2014 through September 30, 2014, each Participant who passes the Kick Off Test with a score of 80% or greater by September 30, 2014, will also be entered into a drawing to win one (1) of twenty (20) Harman Kardon Esquire Portable Bluetooth Wireless Speakers.  The total approximate retail value (“ARV”) = $199.95.  Drawings will take place the first week of October 2014, the winners will be notified and rewards fulfilled upon verification of the winning Participants mailing address.  The list of winners will also be posted to the Announcements section of the Program Website.  

VOLVO SALES PROFESSIONAL/SALES MANAGER REWARD REDEMPTION :  All points accrued during the Program Period may be redeemed on the Program Website between March 23, 2015 and April 3, 2015 (the “Redemption Period”).  Participants can use their approved accrued points to place an order for their reward level.  All rewards must be ordered during the Redemption Period, unless otherwise noted.  Points that are not redeemed by the end of the Redemption Period are forfeited.

REWARD STRUCTURE:  During the Program Period, points will continue to accumulate for Participants for each Eligible Vehicle sold and claimed; provided, however, the maximum points that can be redeemed for this Program are 2,000 points.  The number of points accrued will determine the reward level achieved by each Participant pursuant to the table below.

Each Participant is eligible to redeem at the reward level achieved.  Points cannot be bought, sold or traded.  Point categories cannot be combined. For example, a Participant earning 600 points must redeem the Level 3 reward level or lower.  Points cannot be split to redeem multiple reward level packages.  Only one reward level package may be redeemed per Participant.

REWARD FULFILLMENT DATES:   Participants must redeem their Program points for the corresponding reward level by placing an order through the Program Website  within the Redemption Period in order for the reward to be fulfilled . 


Two (2) authorized Volvo dealers will each be awarded a Grand Prize consisting of:  the Harman Kardon AVR 3700 Receiver and HKTS 60 Theater System, with a combined ARV of $2,000 (each, a “Grand Prize”).

The two authorizing Volvo dealers receiving a Grand Prize will be based on the following criteria:

  •  - Grand Prize #1 - The authorized Volvo dealer with the most approved points accrued during the Program Period will receive a Grand Prize; and
  •  - Grand Prize #2 – The authorized Volvo dealer that exceeds its Wholesale Goal by the highest percentage will receive a Grand Prize.  The “Wholesale Goal” will be set by Program Headquarters and delivered to each authorized Volvo dealer and represents the target number of Eligible Vehicle orders for each dealer during the Program Period.  Each dealer will be measured against its Wholesale Goal using a formula expressed as a percentage, the numerator of which is the actual number of orders for Eligible Vehicles placed by a dealer during the Program Period and the denominator of which is the Wholesale Goal assigned to the respective dealer.  For example, a dealer may be given a Wholesale Goal of 200 orders.  If that dealer orders 250 authorized Vehicles during the Program Period, the dealer will have exceeded its Wholesale Goal by 125% (250/200 = 1.25 or 125%).

In the event of a tie for either Grand Prize #1 or Grand Prize #2, the winner will be selected at random among all dealers tied for the respective Grand Prize.  Each authorized Volvo dealer is only eligible for one (1) Grand Prize.  The Sponsor’s determination of the approved points and Eligible Vehicle orders and the selection of prize winners, in its sole discretion in accordance with these Official Rules, shall be final.

REWARD FULFILLMENT:   Rewards will be shipped directly to the Participants after the Program and Redemption Periods have ended (approximately May, 2015).

The Sponsor reserves the right to disqualify anyone who it determines, in its sole discretion, tampers with the entry or redemption process, violates the spirit of the Program or these Official Rules or acts in a manner which makes it unfair to other Participants.  Winners of any drawings described in these Official Rules are subject to verification by the Sponsor.  Sponsor reserves the right to cancel, suspend or modify the Program if fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Program, as determined by Sponsor in its sole discretion.  Participants may make no substitution or transfer of prizes or redeemed products.  Sponsor reserves the right to substitute products of equal or greater value in the event of unavailability.  All federal, state, and local taxes on the products or prizes are the sole responsibility of Participants.  All federal, state, and local laws and regulations apply.

Winners of drawings described in these Official Rules may be required to execute and return an Affidavit of Eligibility, Release of Liability, and Prize Acceptance Form within five (5) days of the date indicated on the letter of notification. The Affidavit of Eligibility, Release of Liability, and Prize Acceptance Forms will be provided by the Sponsor.  Noncompliance within this time period will result in disqualification, and an alternate winner may be selected. Return of any prize notification as undeliverable will result in disqualification, and an alternate winner will be selected.

In consideration for being awarded a prize or receiving a product from the Program Website, the Participants agree that Sponsor and its parents, subsidiaries, affiliates, and advertising and promotional agencies, and all of their respective directors, officers, governors, employees and agents may use his/her name or likeness for advertising and publicity purposes in any and all media now or hereafter devised worldwide in perpetuity, without additional compensation, notification or authorization (except where prohibited).

No transfer, assignment or substitution of any prize or product (in whole or in part) is permitted, except Sponsor reserves the absolute right to substitute a prize, product or cash of comparable value.  Prizes and products are not redeemable for cash.  The prizes and products are expressly limited to the item(s) listed above and on the Program Website.  The difference between the estimated ARV and actual value will not be awarded as cash, or otherwise.  All federal, state and local taxes, if any, are the sole responsibility of the Participant.  Participants who redeem points for rewards valued $600 or greater will be required to fill out a W9 Tax Form and will then be issued Form 1099-MISC for the ARV amount of the reward within the tax season in which the reward was received.  Any product pictured on the Program Website or in advertising or promotional materials is for illustrative purposes only and may not be the actual prize awarded.  Products awarded as prizes may not be sold, auctioned, bartered, assigned, exchanged, commercially transferred or donated, or otherwise placed into unauthorized commercial channels of distribution.  Prizes and products are awarded “AS IS” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

ELIGIBILITY:  Any individuals who are a Sales Professional or Sales Manager in good standing at an authorized Volvo Cars of North America, LLC dealership, during the Program Period and at the time rewards are delivered, may participate. The Dealership must also remain in good standing with Volvo Cars of North America, LLC during the Program Period and during the delivery of the rewards, in order to complete fulfillment.  If a Participant accumulates points during the Program Period but then leaves his or her Dealership before redeeming any rewards, the Participant will not be permitted to continue to participate or redeem any rewards. If a Participant accumulates points during the Program Period but then leaves his or her Dealership and becomes employed by another Volvo Cars of North America, LLC Dealership, the Participant may not carryover previously accrued points to another Dealership.

NOTE: VINs are verified as sold at retail by Volvo Cars of North America, LLC during the Program as to the Participant when and who sold the Eligible Vehicle.  VINs that have been entered but are subsequently discovered to not qualify, will not receive points.

LIMITATIONS OF LIABILITY: As a condition of participating in the Program and/or claiming any reward, Participants confirm (and agree to confirm in writing) to release the Sponsors, Volvo Cars of North America, LLC,  and affiliates, subsidiaries, retailers, sales representatives, distributors and each of their respective parents, affiliated companies, officers, directors, employees and agents ("Sponsor & Others") from any and all liability, loss or damage incurred with respect to (i) the rewarding, receipt, possession, and/or use or misuse of any reward, (ii) technical failures of any kind, (iii) unauthorized human intervention in any part of the entry process or the Program; (iv) electronic or human error which may occur in the administration of the Program or related processing; and (v) all other aspects of the operation of the Program. Participants hereby waive all rights to claim punitive, incidental, consequential, attorney's fees and costs, or any other damages and any and all rights to have damages multiplied or otherwise increased. All causes of action arising out of or connected with this Program, or any reward given, shall be resolved individually, without resort to any form of class action. Any and all claims, judgments, and reward shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY. Sponsor & Others are not responsible for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/ use net accessibility, availability, or traffic congestion, or any technical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information or the failure of any Participant to properly enroll or enter any information or accurately provide user codes or passwords or redeem within the Redemption Period.  In no event will more rewards be awarded than are stated in these Official Rules.

GOVERNING LAW:   All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of Participants and Sponsor in connection with the Program, shall (to the extent permitted by applicable law) be governed by, and construed in accordance with, the substantive laws of the State of Michigan without regard to conflicts of law principles. All entrants consent to the exclusive jurisdiction and venue of state courts located in Oakland County, Michigan or United States District Court for the Eastern District of Michigan.  If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by the American Arbitration Association in accordance with its arbitration rules and procedures or subsequent versions thereof (“AAA rules”).   The AAA rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in Michigan.  All proceedings brought pursuant to this paragraph will be conducted in Oakland County, Michigan.   Participants agree that the statute of limitations for asserting any claims shall be a period of one year from the end date of the Program Period.  Participants agree that any and all disputes, claims and causes of action arising out of or connected with the contest or any prize awarded shall be resolved individually, without resort to any form of class action.

PUBLICITY RIGHTS:   By accepting a reward, Participants agree to allow Sponsor and/or Sponsor's designee the perpetual right to use their name, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, world-wide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.
